Terms of Service

These Terms of Service ("Terms") constitute a legally binding End User License Agreement ("EULA") between you ("User," "you," or "your") and Zhan Capital LLC ("Company," "we," "us," or "our"), governing your access to and use of the Cramm platform, including the website at cramm.ai, the Cramm browser extension, and all related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial academic purposes during the subscription period.

This license does not include the right to:

• Sublicense, sell, resell, or distribute the Service or any part thereof
• Modify, reverse engineer, decompile, or disassemble the Service
• Use the Service to build a competing product or service
• Use the Service on behalf of any third party or organization without our prior written consent
• Remove, alter, or obscure any proprietary notices

2. Intellectual Property

2.1 Our IP

All rights, title, and interest in and to the Service, including all patents, copyrights, trademarks, trade secrets, and other intellectual property rights, are and shall remain the sole and exclusive property of Zhan Capital LLC. Your use of the Service does not grant you any ownership interest in the Service.

2.2 Your Content

You retain ownership of any content you input into the Service (assignment prompts, readings, etc.). By using the Service, you grant us a limited license to process your content solely to provide and improve the Service.

2.3 Generated Output

Content generated by the Service based on your inputs is licensed to you for personal academic use under the same terms as the Service. We retain all rights to the underlying models, algorithms, and technology used to produce such output.

3. Account and Eligibility

• You must be at least 18 years old to use the Service.
• You are responsible for maintaining the security of your account credentials.
• You may not share your account or allow others to access the Service through your account.
• You must provide accurate and complete information when creating your account.

4. Acceptable Use

You agree not to:

• Use the Service in any manner that violates applicable law or regulation
• Attempt to gain unauthorized access to the Service or its systems
• Use automated scripts, bots, or scrapers to access the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to generate content for resale or commercial distribution

5. Subscriptions and Payment

5.1 Plans

The Service is offered under free and paid subscription plans as described on our pricing page. Features, limits, and pricing are subject to change with reasonable notice.

5.2 Billing

Paid subscriptions are billed in advance on a monthly basis. All payments are processed securely through Stripe. You authorize us to charge your payment method on each billing cycle.

5.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that generated content will be accurate, complete, or suitable for any particular academic purpose. You are solely responsible for reviewing and using any output from the Service.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZHAN CAPITAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Academic Responsibility

You acknowledge that use of AI-generated content may be subject to your institution's academic integrity policies. You are solely responsible for understanding and complying with your institution's policies. We are not responsible for any academic consequences arising from your use of the Service.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your license to use the Service immediately ceases. Sections 2, 6, 7, 8, 10, and 11 survive termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Wyoming.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service. Continued use of the Service after such changes constitutes acceptance of the modified Terms.
